Key Legal Considerations for Delaware Home Improvement Contracts

Residential home renovation contracts in Delaware are governed by state commercial and consumer protection laws (including 6 Del. C. Ch. 35 & Ch. 44). Pay close attention to these statutory and contractual safeguards before signing:

  • Delaware State Business License & Trade Licensing: Delaware does not have a single statewide "general contractor license," but every contractor operating in Delaware is legally required to hold an active Delaware State Business License issued by the Delaware Division of Revenue. Additionally, specialty trades (electrical, plumbing, HVAC) must hold specific state professional licenses.
  • Protection Against Misappropriation of Funds (6 Del. C. § 3502): Under Delaware's Construction Payment Law, any payments you make to a contractor are considered held in trust for subcontractors and material suppliers. Misusing these funds for another job is illegal in Delaware. However, to safeguard your property, ensure your contract specifies that progress payments are contingent on receiving signed Mechanics Lien Waivers for all completed work and materials.
  • Written Contract Requirement: For home improvement projects exceeding $500, always insist on a detailed written agreement signed by both parties. It must explicitly state:
    • The contractor's full legal name, physical address, and DE business license number.
    • An itemized scope of work and specified brand/grade of materials.
    • Target start date and estimated completion date.
    • Total contract price and milestone payment schedule.
  • 3-Day Right to Cancel (Home Solicitation Sales Act): If the renovation contract is negotiated or signed at your residence, federal and Delaware state law grant you a 3 business-day "cooling-off" period to cancel the contract without penalty. The contractor must provide a written cancellation form with the contract.
  • Written Change Order Provision: Mandate in the contract that any alteration to the scope, timeline, or price must be documented in a written Change Order signed by both parties before the additional work begins.
  • Insurance Verification: Obtain certificates of General Liability Insurance (minimum $1,000,000 recommended) and Workers' Compensation Insurance sent directly from the contractor's insurance broker prior to the start of construction.
